Bimpco LLC

This Client Service Agreement ("Agreement") is made between Bimpco LLC ("Service Provider") and [Client Name] ("Client"), collectively referred to as the "Parties," effective as of [Date].

1. Services

The Service Provider agrees to provide graphic design services as described in the attached Project Brief, which outlines specific services, deliverables, deadlines, and any unique project requirements.

2. Project Brief

Each project engaged under this Agreement will have a detailed Project Brief, signed by both Parties, specifying the scope of work, deliverables, timeline, and any special conditions or requirements.

3. Payment Terms

• The Client agrees to pay the Service Provider as per the quote provided for the project.
• A non-refundable deposit of 50% of the quoted amount is required to commence work, with the balance due upon project completion and prior to the delivery of the final designs.
• Payments are accepted via Wire Transfer, Check, Money Order, or via a Third-Party Payment Processor at the discretion of the Service Provider.

4. Cancellation Policy

• The Client may cancel this Agreement with written notice to the Service Provider. If cancellation occurs after commencement of work, the deposit will not be refunded.
• The Service Provider reserves the right to cancel the Agreement under reasonable circumstances with written notice to the Client, in which case a refund of the deposit will be provided unless work has commenced.

5. Intellectual Property

Upon final payment, copyright to the final designs will be transferred to the Client. The Service Provider retains the right to use any completed projects and associated materials for promotional purposes.

6. Confidentiality

Both Parties agree to maintain the confidentiality of any shared information, using it solely for the purposes of completing the project.

7. Liability

The Service Provider is not liable for indirect, special, or consequential damages arising from this Agreement. The Client agrees to indemnify the Service Provider against any claims or expenses arising from the content of the materials provided.

8. Dispute Resolution

Any disputes arising from this Agreement will be resolved through negotiation. If unresolved, disputes will proceed to arbitration in the jurisdiction where the Service Provider is located.

9. Termination

This Agreement may be terminated by either Party with written notice if the other Party breaches any of its terms and fails to correct the breach within a reasonable timeframe.

10. General Provisions

• Governing Law: This Agreement shall be governed by the laws of the jurisdiction where Bimpco LLC is located.
• Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings.
